1. Acceptance of terms

These Terms of Service (the “Terms”) govern your access to and use of SOOKIT, a peer-to-peer online marketplace launching in Lebanon (the “Service”). By creating an account or using the Service you agree to these Terms and acknowledge the SOOKIT Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and legal capacity

You may use the Service only if you have legal capacity to enter into binding agreements under the law that applies to you, and you are not barred from using it by law. If you are a minor under the law of your place of residence, you may use the Service only with the involvement and consent of a parent or legal guardian, who is responsible for your activity.

3. User accounts, accuracy and security

You must provide accurate, current and complete account information and keep it up to date. You may not impersonate another person or create accounts for unlawful purposes.

You are responsible for keeping your sign-in credentials confidential and for activity under your account. Tell us promptly if you suspect unauthorised access. SOOKIT will never ask you for your password or verification codes.

4. SOOKIT’s role as a marketplace

SOOKIT provides a platform that allows independent users to list, discover, and communicate about items. SOOKIT is not a party to the sale or purchase between a buyer and a seller, does not own, inspect or take possession of listed items, and does not set prices or terms between users.

Any contract for the sale of an item is solely between the buyer and the seller. This position applies unless SOOKIT expressly introduces its own payment, escrow, delivery or similar service, in which case additional terms will apply to that service.

5. Buyer responsibilities

Buyers are responsible for reading listings carefully, asking questions before committing, inspecting items before paying where possible, and deciding whether an item and a seller are suitable for them. Buyers must act honestly and respect agreements they make with sellers.

6. Seller responsibilities, listing accuracy and authority to sell

Sellers must describe items accurately and completely, including condition, defects, price and location, and must keep listings current (for example by marking items as sold). Photos must fairly represent the item.

Sellers must own the item or have clear legal authority to sell it, and must have the right to use any text and images they post. Sellers are responsible for compliance with all laws that apply to their sales, including any licensing, tax or customs obligations.

7. Prohibited and illegal items and conduct

You may not list, request or promote: illegal items or services; counterfeit or unauthorised replica goods; stolen goods or goods you have no right to sell; weapons, ammunition, explosives or other dangerous or regulated products where sale is restricted or unlawful; illegal drugs and controlled substances; and any item whose sale is prohibited or requires a licence you do not hold.

You may not engage in fraud, scams, misrepresentation, price manipulation, harassment, threats, spam, or attempts to deceive other users or to circumvent SOOKIT’s safeguards. SOOKIT may update the list of prohibited items and conduct from time to time.

8. Communications between users

SOOKIT may provide messaging so users can communicate about listings. You are responsible for what you send. Do not share passwords or verification codes, and be cautious about sharing personal information. Be cautious if another user pressures you to move a conversation off the platform, particularly before an item has been inspected.

9. In-person transactions and safety

Meetings and exchanges happen between users, outside SOOKIT’s control. Where appropriate, meet in a safe, public place; inspect goods before paying; be cautious of requests for advance payment; and report suspicious behaviour. You take part in in-person transactions at your own risk and are responsible for your own safety and judgement.

10. Payments

Unless SOOKIT expressly offers a payment service, payment is arranged directly between buyer and seller, and SOOKIT does not process, hold, guarantee or refund payments. Each user is responsible for the method, amount, timing and any taxes relating to their transaction.

11. No guarantee of users, items or transactions

SOOKIT does not guarantee the identity, honesty, reliability or conduct of any buyer or seller, unless an explicit verification program states otherwise, and then only to the extent described in that program. SOOKIT does not guarantee the quality, safety, legality, ownership, condition or authenticity of any item, the accuracy of any listing, or that any transaction will be completed.

12. Reporting, moderation and enforcement

You can report listings or profiles that you believe breach these Terms or the law. SOOKIT may review content and accounts, and may, at its discretion and where it considers it reasonably necessary, decline, edit the visibility of, or remove listings; restrict features; and suspend or terminate accounts, including for suspected fraud, unlawful content, repeated reports, breach of these Terms, or risk to other users or the Service.

SOOKIT may investigate suspected scams and fraud, and may cooperate with requests from competent authorities where required or permitted by applicable law.

13. Intellectual property

You keep ownership of content you post, and grant SOOKIT a non-exclusive, worldwide licence to host, display and distribute it as needed to operate and promote the Service. If you believe content on SOOKIT infringes your intellectual property rights, send a complaint to the contact address below with enough detail to identify the content and your rights, and we will review it.

14. Service availability

The Service is provided on an “as available” basis. We may change, suspend or discontinue features, and the Service may be interrupted by maintenance, technical issues or events beyond our control.

15. Limitation of liability

To the maximum extent permitted by applicable law, SOOKIT will not be liable for losses arising from transactions or disputes between users, or for the content, conduct, items or statements of users, or for indirect or consequential losses. SOOKIT’s liability for any claim relating to the Service is limited to the extent permitted by law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, wilful misconduct or gross fault, or any rights you hold as a consumer or otherwise under mandatory Lebanese law.

16. Indemnification

You agree to indemnify SOOKIT against third-party claims, and reasonable resulting losses and costs, to the extent they arise from your unlawful conduct, your listings or content, or your breach of these Terms, subject to applicable law.

17. Governing law and disputes

These Terms are governed by the laws of the Republic of Lebanon. Subject to any mandatory rights that apply to you, the competent courts of Lebanon will have jurisdiction over disputes arising from these Terms or the Service. [Specific court venue and any dispute-resolution or arbitration clause to be confirmed by Lebanese counsel.]

18. Changes to these Terms

We may update these Terms. We will update the version and effective date, and where a change is material we will give reasonable notice and may ask you to accept the new version. Continued use after the effective date means you accept the updated Terms, as far as the law allows.
